Terms of Service
Version 1.4 · Effective October 12, 2026
These Terms of Service ("Terms") govern your access to and use of the Stcki mobile application, website (stcki.com), and related services (collectively, the "Service") provided by Exit Plan LLC, doing business as Stcki ("we," "our," or "us").
By creating an account or using the Service, you agree to be bound by these Terms. If you are using the Service on behalf of a medical practice or business, you represent that you have the authority to bind that entity to these Terms. If you do not agree, do not use the Service.
1. Description of Service
Stcki is a practice operations platform for medical aesthetics and wellness practices. The Service allows practices to: track inventory receipt, storage, transfers between rooms, usage, end-of-day reconciliation, expiration and variance analysis across the products a practice stocks, including neurotoxins, dermal fillers, biostimulators, biologics, peptides, GLP-1 medications, hormones, skincare, supplements and consumables; capture and analyze purchasing, supplier invoices, cost per unit, rebates, reward programs and vendor pricing; manage vendor and manufacturer representative relationships; maintain workforce records, roles, credentials, documents, signatures and related operational obligations; and use AI features, including VERA, that read and summarize the practice's own operational data.
Stcki is an operations tool. It is not an electronic medical record (EMR) system, a medical device, a billing or claims system, an accounting system of record, or a substitute for professional medical, legal, tax, accounting or human-resources judgment. The Service does not provide medical advice, diagnoses, treatment recommendations, legal advice, or employment-law advice.
2. Account Registration
2.1 Eligibility
The Service is intended for use by licensed healthcare professionals, medical practice administrators, and authorized staff members who are at least 18 years of age. By creating an account, you represent that you meet these requirements.
2.2 Account Responsibility
You are responsible for maintaining the confidentiality of your account credentials and for all activities that occur under your account. You must immediately notify us at support@stcki.com if you become aware of any unauthorized use of your account. The practice administrator who creates the account is responsible for managing team member access, including promptly removing access for individuals who are no longer authorized to use the Service.
2.3 Accurate Information
You agree to provide accurate, current, and complete information when creating your account and to update your information as necessary.
3. Subscription Terms
Paid access to the Service is governed by the applicable Subscription Agreement and Order Form, which establish the plan, fees, payment terms, renewal, cancellation and post-termination rights.
4. Acceptable Use
You agree to use the Service only for its intended purpose as described in Section 1. You agree not to:
- Use the Service for any unlawful purpose or in violation of any applicable law or regulation
- Attempt to gain unauthorized access to the Service, other accounts, or our systems
- Reverse engineer, decompile, or disassemble any part of the Service
- Share your account credentials with unauthorized individuals
- Use the Service to store or transmit data beyond the scope described in Section 1, including any information prohibited by Section 6
5. Data Ownership and Intellectual Property
5.1 Your Data
You retain ownership of all data you enter into the Service, including inventory records, transaction history, team member information, vendor and purchasing records, uploaded documents, and the patient reference information described in Section 6. We do not claim ownership of your data. We use your data solely to provide and improve the Service, as described in our Privacy Policy and, with respect to protected health information, as permitted by the Business Associate Agreement between us. By using the Service, you agree that we may use aggregated, de-identified operational data derived from your practice's use of the Service for industry benchmarking, research, and product improvement purposes. De-identification will be performed in accordance with 45 C.F.R. § 164.514. No personally identifiable information, practice names, patient identifiers, or protected health information will be included in any such aggregated dataset.
5.2 Our Intellectual Property
The Service, including its design, code, features, algorithms, branding, and documentation, is owned by Exit Plan LLC and protected by intellectual property laws. These Terms do not grant you any right, title, or interest in the Service beyond the limited right to use it as described herein.
5.3 Feedback
If you provide us with feedback, suggestions, or ideas about the Service, you grant us a non-exclusive, royalty-free, perpetual, irrevocable license to use, modify, and incorporate that feedback into the Service without obligation to you.
6. Protected Health Information
6.1 What the Service Records
The Service may record the patient’s full name and/or initials, date of birth (including year), treatment date, provider, product name, units, lot number, product expiration date, treatment room, the staff member who entered the record, and a session identifier associating product lines from the same treatment session. Treatment records may also contain information submitted through free-text note and metadata fields. In context, this information is protected health information (“PHI”).
6.2 Business Associate Relationship
Stcki acts as a business associate with respect to that information. Before your practice records any usage event containing a patient reference, you and Stcki will execute a Business Associate Agreement ("BAA"). The BAA governs our handling, use, disclosure, safeguarding, retention and return or destruction of PHI. In the event of any conflict between the BAA and these Terms, the BAA controls with respect to PHI.
6.3 Information Workflow
You may submit PHI only through the workflows and integrations approved under the BAA. You will limit PHI entered in free-text notes, metadata, VERA messages, and other open fields to information reasonably necessary for the intended use of the Service and will not use those fields as a substitute for clinical charting. Room-log photographs may be submitted through the approved room-log intake workflow for machine reading and creation of treatment records. The source photograph is deleted within 30 days after capture or receipt, and the associated extraction data is deleted within 30 days after creation, as described in the Data Retention Policy. Customer’s EMR or other designated system remains its primary patient record.
The Service is not intended to replace your EMR or serve as your primary patient record. Your practice remains responsible for maintaining its official medical records. If Stcki maintains PHI that is part of a Designated Record Set, Stcki will provide the access and amendment assistance required by the BAA.
If patient information is entered outside these permitted paths, notify us promptly at support@stcki.com. We will investigate and address it under the BAA and applicable law, including deletion or return where appropriate.
6.4 Safeguards
We will not activate a PHI-capable workflow or integration until the applicable BAA, downstream agreements, security configurations, and required safeguards are in effect. Once activated, Stcki will maintain administrative, physical, and technical safeguards appropriate to the PHI it maintains, as required by the BAA and applicable law.
6.5 Breach Notification
We will notify you of any breach of unsecured PHI in accordance with the timelines and procedures set out in the BAA and 45 C.F.R. § 164.410.
6.6 Your Responsibilities
You are responsible for determining how HIPAA, TMRPA and other applicable privacy laws apply to your practice; for keeping information outside the permitted scope out of the Service; for managing your team's access; and for the configuration and compliance posture of any optional integration you enable, including any messaging or notification service you connect to the Service.
7. Disclaimers
Warranties and Disclaimers applicable to paid subscriptions are governed by Section 10 of the Subscription Agreement.
We do not warrant that the Service will be uninterrupted, error-free, or completely secure. We do not warrant the accuracy or completeness of any information provided through the Service, including AI-generated content, inventory calculations, or analytics. Stcki is not a substitute for proper inventory management practices, professional judgment, your EMR system, your accounting records, or your own compliance and employment-law obligations. Credential, licence, insurance, policy and other compliance information in the Service is a convenience reminder based on data you or your team supply; you remain solely responsible for verifying it and for meeting every applicable licensing, insurance, employment and regulatory requirement. You are solely responsible for verifying the accuracy of data in the Service and for making business decisions based on that data. Stcki is not responsible for clinical outcomes, product administration decisions, inventory losses, missed rebates or credits, vendor pricing outcomes, or compliance, licensing or employment consequences.
Nothing in this Section limits our obligations under the Business Associate Agreement.
8. Limitation of Liability
Governed by § 11 of the Subscription Agreement.
9. Indemnification
Governed by § 12 of the Subscription Agreement.
10. Termination
We may suspend access to the Service where reasonably necessary to address an actual or suspected security threat, unlawful use, or a material violation of these Terms. Subscription termination, cure rights, payment defaults and post-termination access and deletion are governed by the Subscription Agreement and BAA.
11. Governing Law and Dispute Resolution
Governing law, venue, arbitration, claim limitations, and class-action and jury-trial waivers are governed by § 13 of the Subscription Agreement.
12. Changes to These Terms
We may update these Terms from time to time. We will notify you of material changes by posting the updated Terms on our website and, for active subscribers, by email at least 30 days before the changes take effect. Your continued use of the Service after the updated Terms take effect constitutes your acceptance of the changes. If you do not agree to the updated Terms, you must stop using the Service and cancel your subscription. An update to these Terms does not amend or override an executed BAA, accepted Order Form, signed SOW or Subscription Agreement.
13. General Provisions
Entire Agreement: These Terms form part of the documents governing use of the Service. The complete agreement for a paid subscription consists of the applicable BAA, Order Form, SOW, Subscription Agreement, these Terms, Privacy Policy and Data Retention Policy. In the event of a conflict, the following order controls: (1) the Business Associate Agreement (“BAA”), but only with respect to protected health information (“PHI”); (2) any special terms in an Order Form or SOW that expressly state they modify the Subscription Agreement; (3) the Subscription Agreement; (4) these Terms; (5) the Privacy Policy; and (6) the Data Retention Policy.
Severability: If any provision of these Terms is found to be unenforceable, the remaining provisions will continue in full force and effect.
Waiver: Our failure to enforce any provision of these Terms does not constitute a waiver of that provision.
Assignment: You may not assign or transfer these Terms without our prior written consent. We may assign these Terms in connection with a merger, acquisition, or sale of assets, subject to the BAA.
Force Majeure: We are not liable for any failure to perform due to causes beyond our reasonable control, including natural disasters, acts of government, internet outages, or third-party service failures.
